Welcome to Klubiq, a comprehensive property management platform developed and managed by Glumia Solutions Ltd ("GLUMIA", "we", "us", or "our"), a technology company registered under the Companies and Allied Matters Act (CAMA) 2020 in Nigeria.

These Terms of Service ("Terms", "Agreement") govern your access to and use of Klubiq's websites, web applications, mobile software, cloud-based tools, and related services (collectively, the "Service"). By accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy.

Intellectual Property Rights

Our Intellectual Property

All aspects of Klubiq, including but not limited to software, code, designs, graphics, logos, text, content, features, and functionality, are owned by Glumia Solutions Ltd and are protected by Nigerian and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not copy, modify, distribute, sell, lease, or create derivative works based on our Service or any part thereof without our express written permission. Any unauthorized use may result in legal action.

Your Content

You retain ownership of all content, data, and materials you upload, submit, or provide through Klubiq ("Your Content"). However, by using our Service, you grant Glumia Solutions Ltd a worldwide, non-exclusive, royalty-free license to:

  • Use, store, and process Your Content to provide and improve the Service
  • Backup and maintain Your Content
  • Comply with legal obligations
  • Enforce these Terms

You represent and warrant that you have all necessary rights to grant this license and that Your Content does not infringe upon any third-party rights.

Fees and Payments

Service Fees

Fees for Klubiq services are discussed and agreed upon before work begins or service activation. All fees are specified in Nigerian Naira (NGN) or as otherwise agreed, and are exclusive of applicable taxes.

We reserve the right to modify our pricing structure at any time. Any changes will be communicated to you in advance, and you will have the opportunity to review and accept the new pricing or terminate your account.

Payment Terms

  • Payments are due according to the billing cycle specified in your subscription plan
  • All payments are processed securely through third-party payment gateways
  • You are responsible for providing accurate payment information
  • Failed payments may result in service suspension or termination
  • Refunds are handled according to our refund policy, which may vary by service type

Refund Policy

Once a project starts or a subscription begins, payments become non-refundable except where Glumia Solutions Ltd fails to deliver what was agreed upon in writing. Refund requests must be submitted in writing within 30 days of the payment date and will be evaluated on a case-by-case basis.

Acceptable Use Policy

You agree to use Klubiq responsibly and in accordance with these Terms and all applicable laws. You agree NOT to:

More Prohibited Activities

  • Interfere with or disrupt the Service
  • Use the Service for illegal purposes
  • Harass, abuse, or harm others
  • Impersonate any person or entity

We trust that users will act in good faith, respect intellectual property rights, and avoid any use of our platform that could cause harm, disruption, or violation of applicable laws. If serious misuse occurs or obligations aren't met, Glumia Solutions Ltd may suspend or terminate access to the Service, though we prefer to resolve any issue through open conversation first.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.While we always deliver work with professional care, digital systems are never completely risk-free. We therefore cannot guarantee that:

  • The Service will operate without interruption or error
  • Electronic communication will always be completely secure
  • The Service will meet all your requirements
  • All defects will be corrected

We take every reasonable step to keep your information safe and maintain service quality, but you acknowledge that electronic systems involve inherent risks.

Limitation of Liability

To the maximum extent permitted by law, Glumia Solutions Ltd and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, revenue, or data
  • Business interruption
  • Cost of substitute services
  • Personal injury or property damage

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or NGN 100,000, whichever is greater.

Termination

Termination by You

Effect of Termination

Upon termination, your right to use the Service will immediately cease. We may delete your account, data, and content in accordance with our data retention policies. Provisions that by their nature should survive termination will survive, including intellectual property rights, disclaimers, and limitations of liability.

Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved through the following process:

  2. Mediation: If negotiation fails, parties may agree to mediation through a mutually acceptable mediator
  3. Litigation: If mediation is unsuccessful or not pursued, disputes shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria

Changes to These Terms

We reserve the right to modify these Terms at any time. When we make changes, we will:

  • Provide a summary of material changes

Your continued use of the Service after any modification constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service and may terminate your account.
